Agreement to our legal terms

We are Lynn & Line Digital, LLC ("Company," "we," "us," "our"), a company registered in California at 28601 Los Alisos Blvd, Unit 3075, Mission Viejo, CA 92692. We operate lynnandlinedigital.com — a custom Showit web design studio providing website design services and digital product sales, including website templates, to photographers and small service-based businesses.

By accessing the Services, you confirm that you have read, understood, and agreed to be bound by these Legal Terms. If you do not agree, you must discontinue use immediately. The Services are intended for users who are at least 18 years old.

1. Our services

The information provided through the Services is not intended for distribution where such use would be contrary to law or regulation. The Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, GLBA, etc.). If your interactions are subject to such laws, you may not use the Services.

2. Intellectual property rights

We own or are licensed to use all intellectual property rights in our Services, including all source code, databases, software, website designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos (collectively, "Content" and "Marks"). These are protected by copyright and trademark laws in the United States and worldwide.

Subject to these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print Content solely for your personal, non-commercial use. No Content or Marks may be copied, reproduced, sold, or otherwise exploited for any commercial purpose without our express prior written permission.

By sending us any feedback, suggestions, or ideas ("Submissions"), you assign all intellectual property rights in such Submissions to us. You are solely responsible for your Submissions and agree not to submit anything illegal, harassing, defamatory, or misleading.

3. User representations

By using the Services, you represent and warrant that: you have the legal capacity to agree to these terms; you are not a minor in your jurisdiction; you will not access the Services through automated or non-human means; you will not use the Services for any illegal or unauthorized purpose; and your use will not violate any applicable law or regulation.

4. Prohibited activities

You may not use the Services for any purpose other than that for which we make them available. You agree not to:

  • Systematically retrieve data or content to create a database or directory without written permission
  • Trick, defraud, or mislead us or other users
  • Circumvent or interfere with security features of the Services
  • Disparage, tarnish, or harm us or the Services
  • Use information obtained from the Services to harass or harm another person
  • Use the Services in a manner inconsistent with applicable laws or regulations
  • Upload or transmit viruses, Trojan horses, spam, or other harmful material
  • Attempt to impersonate another user or person
  • Copy or adapt the Services' software or reverse engineer any part of the Services
  • Use the Services to advertise or offer to sell goods and services
  • Sell or otherwise transfer your profile
  • Resell, redistribute, or claim ownership of any purchased website templates
  • Use purchased templates to create derivative templates for resale
  • Reproduce or resell website designs created under a custom design agreement without written permission

5. User generated contributions

The Services do not currently offer users the ability to submit or post public content. If we provide this opportunity in the future, any Contributions you make must not infringe third-party rights, must be accurate and non-misleading, and must comply with all applicable laws.

6. Contribution license

You retain full ownership of your Contributions and any associated intellectual property rights. By submitting feedback or suggestions about the Services, you agree that we may use and share such feedback for any purpose without compensation to you.

7. Services management

We reserve the right to monitor the Services for violations; take appropriate legal action against violators; restrict, limit, or disable access to Contributions; and otherwise manage the Services to protect our rights and property.

8. Privacy policy

We care about data privacy and security. Please review our Privacy Policy at lynnandlinedigital.com/privacy. By using the Services, you agree to be bound by our Privacy Policy. The Services are hosted in the United States. If you access the Services from outside the US, you consent to your data being transferred to and processed in the United States.

9. Term and termination

These Legal Terms remain in effect while you use the Services. We reserve the right to deny access, terminate your use, or delete any content or information you posted at any time, without warning, at our sole discretion. If your account is terminated, you are prohibited from registering a new account without our permission.

10. Modifications and interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We are not liable for any loss or inconvenience caused by downtime, interruptions, delays, or errors.

11. Governing law

These Legal Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

12. Dispute resolution

Informal negotiations

Before initiating arbitration, the parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days, beginning upon written notice from one party to the other.

Binding arbitration

If informal negotiations fail, disputes will be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in Orange County, California. No class action arbitration is permitted.

Exceptions

Disputes involving intellectual property rights, theft, piracy, invasion of privacy, unauthorized use, or requests for injunctive relief are not subject to arbitration. No dispute may be brought more than one (1) year after the cause of action arose.

13. Corrections

We reserve the right to correct any typographical errors, inaccuracies, or omissions on the Services at any time without prior notice.

14. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE ASSUME NO LIABILITY FOR ERRORS, PERSONAL INJURY, UNAUTHORIZED ACCESS, INTERRUPTIONS, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

15. Limitations of liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US.

16. Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand — including reasonable attorneys' fees — arising out of your use of the Services, breach of these Legal Terms, violation of third-party rights, or any harmful act toward another user.

17. User data

We maintain certain data you transmit to the Services for operational purposes. You are solely responsible for all data you transmit or that relates to your activity on the Services. We have no liability for any loss or corruption of such data.

18. Electronic communications, transactions, and signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements and records provided electronically satisfy any legal requirement that such communication be in writing.

19. California users and residents

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

20. Miscellaneous

These Legal Terms constitute the entire agreement between you and us. If any provision is found to be unlawful or unenforceable, it will be severed from these Legal Terms without affecting the remaining provisions. No joint venture, partnership, employment, or agency relationship exists between you and us as a result of these Legal Terms.
